1.1 GovRes LLC. and its subsidiaries (“GovRes,” “we,” “us,” or “our”) provides its Services (as defined below) to you through its website located at www.govres.ai (the “Site”) and related applications, subject to this Terms of Service agreement (the “Agreement”). By accepting this Agreement or by accessing or using the Services or Site, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree with this Agreement, you must not accept this Agreement and may not use the Services.
1.2 This Agreement applies to all users of the Services, including individual users seeking to create federal resumes (“Individual Users”) and organizations or businesses using the Services on behalf of their employees, clients, or members (“Organizational Users”). If you are accessing the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to this Agreement, and “you” and “your” shall refer to that organization.
1.3 GovRes will notify you before making material changes to this Agreement and give you an opportunity to review the revised Agreement before continuing to use the Site and the Services. When you use the Site and the Services after a modification becomes effective, you are agreeing to the modified Agreement. If you do not agree to the modified Agreement, you must immediately discontinue your use of the Site and the Services.
2.1 The “Services” include (a) the features and functions offered through the Site, (b) AI-powered tools and services that assist users in creating, customizing, and optimizing federal resumes for use on USAJOBS and other government job application platforms, (c) resume analysis, keyword optimization, and compliance-checking features, and (d) all software, data, text, images, and content made available through the Site (collectively, the “Content”). Any new features added to or augmenting the Services are also subject to this Agreement.
2.2 AI-Generated Content Disclaimer. The Services use artificial intelligence to assist in generating and optimizing resume content. While GovRes strives to produce accurate, high-quality, and compliant output, AI-generated content may contain errors, inaccuracies, or omissions. You are solely responsible for reviewing, verifying, and approving all content generated by the Services before submitting it to any employer, government agency, or job application platform. GovRes does not guarantee the accuracy, completeness, or suitability of any AI-generated content for any particular position or purpose.
2.3 No Guarantee of Employment. GovRes does not guarantee that use of the Services will result in any employment, interview, referral, or offer of employment. The Services are tools designed to assist you in preparing application materials, and the outcome of any job application depends on numerous factors beyond the control of GovRes, including but not limited to hiring agency decisions, applicant qualifications, and competitive factors.
2.4 USAJOBS Compliance. While the Services are designed to help users create resumes that align with federal hiring standards and USAJOBS formatting requirements, GovRes is not affiliated with, endorsed by, or partnered with USAJOBS, the U.S. Office of Personnel Management (OPM), or any other federal agency. Federal hiring requirements may change without notice, and GovRes makes no warranty that the Services will at all times reflect the most current requirements.
3.1 Subject to the terms and conditions of this Agreement, you may access and use the Services only for lawful purposes. All rights, title, and interest in and to the Services, the Content, and their components will remain with and belong exclusively to GovRes. You shall not (a) sublicense, resell, rent, lease, transfer, assign, or otherwise commercially exploit or make the Services available to any third party; (b) use the Services in any unlawful manner (including without limitation in violation of any data, privacy, or export control laws) or in any manner that interferes with or disrupts the integrity or performance of the Services; (c) modify, adapt, or hack the Services to falsely imply any sponsorship or association with GovRes, or otherwise attempt to gain unauthorized access to the Services or related systems or networks; (d) use the Services to generate fraudulent, misleading, or materially false resume content; or (e) use automated scripts, bots, or other tools to access the Services except as expressly permitted by GovRes.
3.2 Intellectual Property. We own the Content, or portions of the Content may be made available to us through arrangements with third parties. The Content is protected by United States and foreign intellectual property laws. Unauthorized use of the Content may result in violation of copyright, trademark, and other laws. You have no rights in or to the Content, and you will not use, copy, or display the Content except as permitted under this Agreement. You may not sell, transfer, assign, license, sublicense, or modify the Content or reproduce, display, publicly perform, make a derivative version of, distribute, or otherwise use the Content in any way for any public or commercial purpose without our prior written consent. Scraping of Content from the Site for any reason is expressly prohibited.
3.3 Your Content. You are solely responsible for all data, information, resume content, personal details, work history, and other materials that you upload, post, or otherwise transmit or store via the Services (“Your Content”). You hereby grant to GovRes a worldwide, non-exclusive, sublicensable, assignable, royalty-free right and license to use, reproduce, and process Your Content solely in connection with the operation, improvement, and maintenance of the Services, including the training and enhancement of GovRes's AI models and algorithms.
Without limiting the foregoing, you acknowledge and agree that GovRes may: (a) use Your Content internally to train, evaluate, and improve its AI models, including by analyzing the relationship between resume content and employment outcomes; and (b) collect and use employment outcome data that you voluntarily provide — such as whether you received an interview, referral, or offer of employment — and associate such data with Your Content for the purpose of improving the Services and the quality of AI-generated output.
GovRes will not sell, distribute, or disclose Your Content to third parties except (i) to GovRes's service providers and subprocessors who require access to operate and maintain the Services, subject to appropriate confidentiality obligations, or (ii) as required by applicable law. GovRes may also use anonymized and aggregated data derived from Your Content for analytics, benchmarking, and product development purposes, provided such data cannot reasonably be used to identify you.
3.4 Ownership of Generated Resumes. Subject to your compliance with this Agreement and payment of all applicable fees, you retain ownership of the final resume documents generated through the Services using Your Content. GovRes retains all rights in its underlying technology, AI models, algorithms, templates, formatting structures, and methodologies used to generate such documents.
Notwithstanding your ownership of the final resume documents, you hereby grant to GovRes a worldwide, non-exclusive, royalty-free right and license to use, reproduce, and process such documents internally for the purposes described in Section 3.3, including the training, evaluation, and improvement of GovRes's AI models and the analysis of employment outcomes. For clarity, this license does not grant GovRes the right to sell, publish, or distribute your final resume documents to third parties, except to GovRes's service providers and subprocessors subject to appropriate confidentiality obligations, or as required by applicable law.
3.5 Account Responsibility. You will be required to open an account (the “Account”) in order to use the Services. You are responsible for (i) maintaining the confidentiality of your Account login and password and (ii) all activities that occur under your Account. GovRes reserves the right to access your Account in order to respond to your requests for technical support. You agree to notify GovRes promptly of any unauthorized use of your Account.
3.6 You understand that the operation of the Services, including the use of Your Content, may involve (a) transmissions over various networks; (b) changes to conform and adapt to technical requirements of connecting networks or devices; and (c) transmission of Your Content to GovRes's third-party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to operate and maintain the Services. Although GovRes strives to keep Your Content secure, given the nature of the Internet, GovRes cannot guarantee absolute security. You acknowledge that you bear sole responsibility for adequate backup of Your Content.
3.7 The failure of GovRes to exercise or enforce any right or provision of this Agreement shall not be a waiver of that right. You acknowledge that this Agreement is a legally binding agreement between you and GovRes, even though it is electronic and not physically signed by you, and it governs your use of the Services and the Site.
4.1 Subscription Plans. Access to certain features of the Services requires a paid subscription. GovRes offers various subscription plans as described on the Site. GovRes reserves the right to modify subscription plans, pricing, and features at any time, provided that any price increases will not apply to your current billing period.
4.2 Billing and Renewal. By subscribing to a paid plan, you authorize GovRes to charge the applicable subscription fees to your designated payment method. Subscriptions will automatically renew at the end of each billing period unless you cancel prior to the renewal date. You are responsible for ensuring that your payment information is accurate and up to date.
4.3 Refunds. Subscription fees are generally non-refundable except as required by applicable law or as otherwise stated in GovRes's refund policy, which may be updated from time to time and posted on the Site.
4.4 Free Trials. GovRes may offer free trial periods at its discretion. At the end of a free trial, your account will be converted to a paid subscription unless you cancel before the trial period ends. GovRes reserves the right to limit free trial availability.
No license or right to use any trademark of GovRes or any third party is granted to you in connection with the Services. “USAJOBS” and related marks are trademarks of the U.S. Office of Personnel Management and are used herein for descriptive purposes only.
You represent and warrant to GovRes that (i) you have full power and authority to enter into this Agreement; (ii) you own all Your Content or have obtained all permissions, releases, rights, or licenses required to engage in your activities in connection with the Services; (iii) Your Content does not and will not violate, infringe, or misappropriate any third party's copyright, trademark, right of privacy or publicity, or other personal or proprietary right, nor does Your Content contain any material that is defamatory, obscene, unlawful, threatening, abusive, or harassing; (iv) all information you provide through the Services, including resume content, is truthful and accurate to the best of your knowledge; (v) you are eighteen (18) years of age or older; and (vi) if you are an Organizational User, you have the authority to bind your organization to this Agreement.
7.1 Our Privacy Policy is expressly incorporated into this Agreement. The Privacy Policy discloses GovRes's practices regarding the collection, use, and disclosure of your personal information in connection with your use of the Services. By agreeing to this Agreement, you are also agreeing to the terms of the Privacy Policy.
7.2 You acknowledge that use of the Services involves the processing of personal data, including but not limited to your name, contact information, work history, education, skills, and other information typically contained in a resume. GovRes will process such data in accordance with its Privacy Policy and applicable data protection laws.
7.3 GovRes implements commercially reasonable technical and organizational measures to protect Your Content and personal data. However, no method of transmission over the Internet or method of electronic storage is 100% secure, and GovRes cannot guarantee absolute security of your data.
8.1 You may terminate your Account at any time by following the account cancellation process on the Site. Upon cancellation, your access to paid features will continue until the end of your current billing period, after which your subscription will not renew.
8.2 GovRes reserves the right to (i) modify or discontinue, temporarily or permanently, the Services (or any part thereof); (ii) suspend or terminate your Account or your use of the Services at any time and for any reason, including if GovRes believes that you have violated this Agreement; and (iii) remove and discard any of Your Content for any reason. GovRes shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services or termination of your Account.
8.3 Upon termination of your Account, GovRes may permanently delete Your Content. You are responsible for exporting or downloading any data you wish to retain prior to termination.
THE SERVICES, INCLUDING THE SITE, CONTENT, AND ALL AI-GENERATED OUTPUT, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, AND GOVRES EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ACKNOWLEDGE THAT GOVRES DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR VIRUS-FREE, AND NO INFORMATION, ADVICE, OR SERVICES OBTAINED BY YOU FROM GOVRES OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT. GOVRES DOES NOT GUARANTEE (A) THAT YOU WILL OBTAIN ANY EMPLOYMENT OR OFFERS FOR EMPLOYMENT THROUGH USE OF THE SERVICES, (B) THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT, OR (C) THAT THE SERVICES WILL COMPLY WITH THE CURRENT OR FUTURE REQUIREMENTS OF ANY FEDERAL AGENCY OR JOB APPLICATION PLATFORM.
10.1 UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL GOVRES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES OR BUSINESS, LOST DATA, OR BUSINESS INTERRUPTION. IN ADDITION, GOVRES'S TOTAL AGGREGATE LIABILITY FOR ANY DIRECT DAMAGES, COSTS, LOSSES, OR LIABILITIES SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED ($100) U.S. DOLLARS OR (B) THE TOTAL FEES PAID BY YOU TO GOVRES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THE PROVISIONS OF THIS SECTION ALLOCATE THE RISKS UNDER THIS AGREEMENT BETWEEN THE PARTIES, AND THE PARTIES HAVE RELIED ON THESE LIMITATIONS IN DETERMINING WHETHER TO ENTER INTO THIS AGREEMENT.
10.2 SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHICH MEANS THAT SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN THESE STATES, GOVRES'S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
You agree to defend, indemnify, and hold harmless GovRes and its officers, directors, employees, and agents from and against any claims, actions, or demands, and any resulting costs, losses, damages, or expenses, including without limitation reasonable legal and accounting fees, arising or resulting from: (i) your breach of this Agreement; (ii) any of Your Content that is uploaded, posted, or otherwise transmitted to the Services using your Account; (iii) your access, contribution to, use, or misuse of the Site or the Services; (iv) the submission of any resume or application materials generated through the Services to any employer or government agency; or (v) any claim that Your Content infringes or misappropriates the intellectual property rights of a third party. GovRes shall provide notice to you of any such claim and reserves the right to assume the exclusive defense and control of any matter subject to indemnification under this section.
You may not assign, delegate, or transfer this Agreement, by operation of law or otherwise, without GovRes's prior written consent. Any attempt by you to assign or transfer this Agreement without such consent will be null and void. GovRes may freely assign or transfer this Agreement without restriction. Subject to the foregoing, this Agreement will bind and inure to the benefit of the parties, their successors, and permitted assigns.
13.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
13.2 Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by binding arbitration in accordance with the then-current Rules of Commercial Arbitration of the American Arbitration Association. The arbitration shall be held in Wilmington, Delaware, shall be conducted in the English language, and shall be conducted before a single arbitrator. The arbitrator shall award reimbursement of attorneys' fees and other costs of arbitration to the prevailing party. Any decision by an arbitrator may be confirmed and reduced to judgment in any court of competent jurisdiction.
13.3 BY AGREEING TO THIS AGREEMENT, YOU AND GOVRES ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. YOUR RIGHTS WILL BE DETERMINED BY A NEUTRAL ARBITRATOR, NOT A JUDGE OR JURY. YOU AND GOVRES EACH AGREE THAT YOU AND IT MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING.
13.4 Notwithstanding the foregoing, GovRes shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief pending a final decision by the arbitrator. In the event that the arbitration terms are not enforceable for any reason, any legal action related to this Agreement shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Wilmington, Delaware.
GovRes respects the intellectual property of others and expects its users to do the same. It is GovRes's policy, in appropriate circumstances and at our discretion, to disable or terminate the accounts of users who repeatedly infringe the rights of copyright holders.
If you are a copyright owner or an agent thereof and believe that any content on the Site infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing our Copyright Agent with the following information in writing: (i) a physical or electronic signature of a person authorized to act on behalf of the copyright owner; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing and information reasonably sufficient to locate the material; (iv) your contact information; (v) a statement of good faith belief that the use is not authorized; and (vi) a statement under penalty of perjury that you are authorized to act on behalf of the copyright owner.

The Site and the Services may display or permit linking or other access to third-party content, websites, applications, and resources (“Third-Party Sites”) that are not under GovRes's control. We provide these links only as a convenience and are not responsible for the content or services available from Third-Party Sites. You acknowledge that this Agreement and the GovRes Privacy Policy do not apply to any Third-Party Sites. You are responsible for reading and understanding the terms and privacy policy of any Third-Party Site you access.
16.1 Entire Agreement. This Agreement constitutes the entire and exclusive understanding and agreement between GovRes and you regarding your use of the Site and the Services, and supersedes any and all prior oral or written understandings or agreements.
16.2 Severability. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.
16.3 Notices. Any notices or other communications provided by GovRes under this Agreement will be given via email, electronic communication, or by posting to the Site.
16.4 Waiver. GovRes's failure to enforce any right or provision of this Agreement will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of GovRes.
