These terms of service are entered into by and between you and GovRes, LLC (“Company,” “we,” or “us”). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, the “Terms”), govern your access to and use of https://govres.ai, including any content, functionality, and services (the “Services”) offered on or through https://govres.ai (the “Site”), whether as a guest, a registered user with a free account, or a registered user with a paid subscription.
Please read the Terms carefully before you start to use the Site. By using the Site or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound by and abide by these Terms. Our Privacy Policy, found at www.govres.ai/privacy, describes how we collect, use, and disclose information about you; please review it. If you do not agree to these Terms, you must not access or use the Site.
This Site is offered and available only to users who are eighteen (18) years of age or older. The Services are designed for individuals seeking employment with the United States Government, and we make the Site available for use from within the United States and, for such individuals, from other locations. By using this Site, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements.
We may revise and update these Terms from time to time in our sole discretion and may provide you with notice by sending you an email, posting a notice on the Site, or by uploading the updated Terms. All changes are effective thirty (30) days after we post them ("Notice Period"), and apply to all access to and use of the Site after the Notice Period, except that changes required by law or addressing security vulnerabilities may take effect immediately upon posting. However, any changes to the dispute resolution provisions set out in the Governing Law and Jurisdiction and Dispute Resolution; Binding Arbitration; Class Action Waiver sections of these Terms will not apply to any disputes for which the parties have actual notice before the date such change is posted on the Site.
If you do not agree to any changes to these Terms, you must immediately discontinue your use of the Site. Your continued use of the Site following the posting of any revised Terms means that you accept and agree to all of the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Site or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.
We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms. From time to time, we may restrict user access, including registered user access, to some parts of the Site or the entire Site.
Access to certain features of the Site requires a paid subscription (“Subscription”). We offer various Subscriptions as described on the Site. You agree to pay all applicable fees for the Subscriptions you purchase, as indicated on the Site (collectively, the “Fees”). We may offer free trial periods (“Free Trial”) at our sole discretion. If you start a Free Trial, we will disclose the terms of the trial to you before you begin, including the length of the trial, the Subscription plan and price that will apply after the trial, and how to cancel. Unless you cancel before the trial ends, your trial will automatically convert to the disclosed Subscription at the disclosed price, and your payment method will be charged on a recurring basis at the start of each billing period until you cancel. You may cancel at any time through your account settings, effective at the end of the then-current trial or billing period. We reserve the right to modify plans, pricing, and features of all Subscriptions and Free Trials at any time, in our sole discretion, provided that we will notify you of any price increase at least thirty (30) days before it takes effect, and the increase will apply no earlier than your next billing period after the notice. If you do not agree to the increase, you may cancel before it takes effect.
By providing a payment method, you authorize GovRes to charge your payment method for all applicable Fees. Prices shown do not include applicable sales or similar taxes, which will be added where required by law. Your bank or card issuer may impose its own fees, which are your responsibility. You are responsible for keeping your payment information accurate and up to date.
Except as required by applicable law or as otherwise stated in these Terms, all Fees are non-refundable. If you cancel a Subscription, you will retain access to paid features until the end of your current billing period, and no partial refunds are provided for unused portions of a billing period.
To the extent permitted by law, if you have an unpaid or outstanding account balance, we reserve the right to suspend or terminate your use of the Site, in our sole discretion.
Unless otherwise terminated in accordance with these Terms, your Subscription will automatically renew at the end of each billing period as specified in your account.
You may terminate your account, subject to any surviving obligations described in these Terms, by closing your account in accordance with the cancellation process on the Site. If you have a Subscription at the time of your cancellation, your access to paid features of the Site will continue until the end of your current billing period, at which time your Subscription and access to paid features will terminate.
We reserve the right to (i) modify or discontinue, temporarily or permanently, the Site (or any part thereof); (ii) suspend or terminate your account or your use of the Site at any time and for any reason, including without limitation if we believe that you have violated these Terms; and (iii) remove and discard any User Contributions for any reason. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Site or termination of your account.
Upon termination of your account, GovRes will retain your User Contributions for up to ninety (90) days following the effective date of termination, during which time you may export or download any data you wish to retain. GovRes will delete your User Contributions within ninety (90) days of termination, except as described in our Privacy Policy (for example, financial records retained for legal compliance and de-identified data).
All provisions of the Terms that by their nature should survive termination will survive termination, including, without limitation, any obligation you have to pay us or indemnify us, any limitations on our liability, any terms regarding ownership or intellectual property rights, and terms regarding disputes.
The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by GovRes, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms permit you to use the Site for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:
Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
You may store files that are automatically cached by your web browser for display enhancement purposes.
You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
Except with respect to your own User Contributions and Generated Content, you must not:

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:
In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the content standards set out in these Terms.
To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm the Company or users of the Site, or expose them to liability.
Additionally, you agree not to:
Use the Site in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Site, including their ability to engage in real time activities through the Site.
Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
Use any manual process to monitor or copy any of the material on the Site, or for any other purpose not expressly authorized in these Terms, without our prior written consent.
Use any device, software, or routine that interferes with the proper working of the Site.
Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
Otherwise attempt to interfere with the proper working of the Site.
If you provide us with any comments, questions, suggestions, enhancement requests, recommendations, improvements, modifications, adaptations, or other feedback relating to the Site (“Feedback”), you hereby grant GovRes a perpetual, irrevocable, non-exclusive, worldwide, royalty-free and fully paid-up license, with the right to sublicense through multiple tiers, to use, reproduce, modify, create derivative works of, distribute, publicly perform, publicly display, and otherwise exploit such Feedback for any purpose without attribution or compensation to you.
You acknowledge that a fundamental component of the Site is the use of machine learning and artificial intelligence techniques to provide and improve the Services. GovRes may collect and analyze data relating to the provision, use, and performance of the Site, including inputs to and outputs from the Services, to develop, improve, maintain, and secure the Site and other GovRes offerings, consistent with our Privacy Policy. GovRes may create de-identified and aggregated data from User Contributions and related information, and may retain and use such de-identified and aggregated data for any lawful purpose, including after termination of your account, provided that such data does not identify you and GovRes does not attempt to re-identify it. GovRes will not permit third-party artificial intelligence providers to use your User Contributions to train their models.
The Services allow you to submit, upload, or provide personal information, content, and materials, including job application materials such as résumés, work histories, and responses to the Services' interactive features (collectively, "User Contributions").
We treat your User Contributions as your private information. We do not publish your User Contributions, make them available to other users, or make them publicly accessible, and we disclose them only as described in our Privacy Policy.
You grant GovRes and its service providers a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, display, and process your User Contributions solely as necessary to provide, maintain, and improve the Services, consistent with our Privacy Policy and the Machine Learning section of these Terms.
You represent and warrant that you own or control all rights in and to your User Contributions and have the right to grant the license above, and that all of your User Contributions do and will comply with these Terms. You understand and acknowledge that you are responsible for any User Contributions you submit, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.
The Site provides certain Services that generate, review, or analyze documents and materials (the "Generative Services"), such as résumés and job application materials, based on your User Contributions (the "Generated Content"). As between you and GovRes, you own all right, title, and interest in and to your Generated Content. To the extent GovRes holds any rights in Generated Content, GovRes hereby assigns them to you.
You grant GovRes and its service providers a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, and display your Generated Content solely as necessary to provide, maintain, and improve the Services, consistent with our Privacy Policy and the Machine Learning section of these Terms.
You acknowledge that Generated Content is produced with artificial intelligence based on the information you provide, that similar or identical output may be generated for other users, and that GovRes makes no representation regarding the copyrightability of Generated Content.
We have the right to:
Remove or refuse to process any User Contributions for any or no reason in our sole discretion.
Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms, including the content standards set out in these Terms, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Site or the public, or could create liability for the Company.
Disclose your identity or other information about you to any third party who claims that material submitted by you violates their rights, including their intellectual property rights or their right to privacy.
Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Site or Services.
Terminate or suspend your access to all or part of the Site or Services for any or no reason, including without limitation, any violation of these Terms.
Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone submitting any materials on or through the Site. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.
We do not undertake to review all User Contributions and cannot ensure prompt removal of objectionable material. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.
These content standards apply to any and all User Contributions and use of the Generative Services. User Contributions and the use of the Generative Services must comply with all applicable federal, state, local, and international laws and regulations. In addition to the above restrictions, User Contributions must not:
Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and our Privacy Policy (www.govres.ai/privacy).
Be likely to deceive any person.
Promote any illegal activity, or advocate, promote, or assist any unlawful act.
Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
Impersonate any person or misrepresent your identity or affiliation with any person or organization.
Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.
In addition, you may not use the Generative Services to generate any Generated Content that would violate the standards above if it were a User Contribution.
We take claims of copyright infringement seriously. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any materials accessible on or from the Site infringe your copyright, you may request removal of those materials (or access to them) from the Site by submitting written notification to our copyright agent designated below. In accordance with the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act (17 U.S.C. § 512) (“DMCA”), the written notice (the “DMCA Notice”) must include substantially the following:

When you submit application materials to any employer or through any application system, you — not GovRes — are the author and certifier of those materials. GovRes does not verify or certify the truthfulness or accuracy of any Generated Content or User Contribution, and GovRes makes no representation that any materials prepared using the Services satisfy the requirements of any job announcement, hiring authority, or application system. The Services may include automated checks that flag certain content for your attention (for example, information generally not appropriate for inclusion in a federal résumé). These checks are provided for your convenience only, may not identify all issues, and do not constitute review, verification, or certification of your materials; you remain solely responsible for the content of anything you submit.
You are solely responsible for deciding which jobs to apply to and which job application materials, such as resumes, to include in your job applications. TO THE FULLEST EXTENT PROVIDED BY APPLICABLE LAW, IN NO EVENT WILL GOVRES, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, OR ANY CONTENT GENERATED BY THE SITE, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
TO THE FULLEST EXTENT PROVIDED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF GOVRES, ITS AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO GOVRES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct.

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless GovRes, its affiliates, licensors, and service providers, and its and their respective officers, directors, managers, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
(i) your violation of these Terms;
(ii) your violation of any applicable law or the rights of any third party, including any intellectual property, publicity, or privacy right;
(iii) your User Contributions, including any claim that they infringe or misappropriate the rights of any person; or
(iv) any false, inaccurate, or misleading statement in application materials you submit to any employer or application system, including materials prepared using the Services.
This obligation does not apply to the extent a claim arises from GovRes's own violation of these Terms or applicable law.
All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction).
Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, in each case located in the City of Wilmington and County of New Castle. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
The foregoing applies only to disputes not subject to the arbitration agreement below, including where you have validly opted out, claims proceeding in small claims court, claims for injunctive relief described in the Exceptions provision, and any dispute found not subject to arbitration.
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury hear your claims.
Informal Resolution. Before filing a claim, you and GovRes agree to try to resolve the dispute informally. You may send us a written description of your dispute at info@govres.ai, and we may send one to your registered email address. Both parties agree to negotiate in good faith for at least thirty (30) days from receipt before initiating arbitration. Most disputes are resolved this way.
Agreement to Arbitrate. Except as provided below, you and GovRes agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, as modified by this section. The AAA's rules are available at www.adr.org. The Federal Arbitration Act governs the interpretation and enforcement of this section. The arbitrator, and not any court, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement, except that a court shall decide any dispute regarding the enforceability of the Class Action Waiver below.
Exceptions. Either party may (i) bring an individual claim in small claims court in the county in which the party bringing the claim resides (or another mutually agreed location) if the claim qualifies; and (ii) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
Arbitration Procedures. The arbitration will be conducted by a single arbitrator. If your claim is for $25,000 or less, the arbitration will be conducted based on written submissions unless you request a hearing or the arbitrator determines a hearing is necessary. If a hearing is held, it will be conducted by videoconference unless the arbitrator determines an in-person hearing is appropriate, in which case it will take place in the county where you reside or another mutually agreed location. Payment of AAA filing, administration, and arbitrator fees will be governed by the AAA Consumer Arbitration Rules. The arbitrator may award the same damages and relief on an individual basis that a court could award to an individual.
Class Action Waiver. YOU AND GOVRES EACH AGREE THAT ANY PROCEEDING, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION, AND EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. If the Class Action Waiver is held unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court, and the remainder of this section shall remain in effect.
Mass Filings. If twenty-five (25) or more similar arbitration demands are filed against GovRes by the same or coordinated counsel or entities, the parties agree that the AAA shall administer them in batches under its Mass Arbitration Supplementary Rules or, if unavailable, that the demands shall be resolved in staged proceedings: each side shall select up to ten (10) demands to proceed first as bellwether arbitrations, with the remaining demands tolled and not filed (and no filing fees due) until the bellwether arbitrations conclude, after which the parties shall engage in a global mediation before further demands proceed.
Thirty-Day Opt-Out. You may opt out of this arbitration agreement and Class Action Waiver by emailing info@govres.ai with the subject line "Arbitration Opt-Out," including your name and account email, within thirty (30) days of first accepting these Terms. Opting out will not affect any other provision of these Terms.
Survival. This section survives termination of your account or these Terms.
You may not assign, delegate or transfer these Terms or your rights or obligations hereunder, or your account on the Site, in any way (by operation of law or otherwise) without our prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without your consent at any time.
No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
You hereby acknowledge and agree that you are not an employee, agent, partner, or joint venture of GovRes, and you do not have any authority of any kind to bind GovRes in any respect whatsoever. The parties agree that other than the parties entitled to protection under the Limitation on Liability and Indemnification sections of these Terms (each of which may enforce those sections), there are no third-party beneficiaries under these Terms.
These Terms constitute the sole and entire agreement between you and GovRes regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
